Terms of Service

1. Overview

StarReply ("we", "us", "our") is a service operated by StarReply UG (haftungsbeschränkt). These Terms of Service ("Terms") govern your use of the StarReply platform at starreply.ai ("Service"), which provides AI-powered automated responses to Google Business Profile reviews.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

StarReply connects to your Google Business Profile via the official Google API. The Service:

• Reads reviews from your Google Business Profile locations
• Generates AI-powered reply suggestions based on your configured brand voice and rules
• Posts replies to Google on your behalf, subject to your consent settings
• Provides a dashboard to manage locations, review replies, and analytics

3. User Consent for Automated Actions

StarReply will never automate or trigger review replies without your prior, specific, and express consent.

Before any automated reply is posted to your Google Business Profile, you must:

1. Explicitly enable auto-reply for each individual location through the StarReply dashboard
2. Configure your auto-reply preferences, including which star ratings are eligible for automatic posting and which require manual approval
3. Acknowledge and confirm that StarReply will post replies on your behalf according to your chosen settings

You may revoke this consent at any time by disabling auto-reply for a location or disconnecting the Service from your Google account. Changes take effect immediately.

3.1 Draft Mode

You may configure any location in "draft-only" mode, where all AI-generated replies require your explicit approval before being posted. By default, reviews with 1-2 star ratings are routed to the draft queue and are never auto-posted.

3.2 Your Responsibility

You are solely responsible for the content of all replies posted through StarReply to your Google Business Profile, whether auto-posted or manually approved. You agree to review your auto-reply settings regularly and ensure they reflect your intent.

4. Google Account Access

To use the Service, you must authorize StarReply to access your Google Business Profile via OAuth 2.0. We request only the minimum permissions necessary to provide the Service. You can revoke access at any time through your Google Account settings or the StarReply dashboard.

StarReply's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

5. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized use of your account.

6. Acceptable Use

You agree not to:

• Use the Service to post spam, fake, misleading, or abusive review replies
• Violate Google's Terms of Service or review policies
• Attempt to circumvent rate limits, access controls, or security measures
• Use the Service for any location or account you do not own or have authorization to manage
• Resell, sublicense, or redistribute access to the Service without our written consent

7. Subscription and Payment

StarReply offers free and paid subscription plans. Paid plans are billed monthly or annually. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

8. Intellectual Property

The Service, including its design, code, and AI models, is owned by StarReply UG. AI-generated reply content is created on your behalf and you retain the right to use, modify, or delete it. We do not claim ownership of your review replies or business data.

9. Limitation of Liability

StarReply is provided "as is" without warranty of any kind. We are not liable for:

• The accuracy, tone, or appropriateness of AI-generated replies
• Any consequences arising from replies posted to your Google Business Profile
• Service interruptions, API changes by Google, or data loss
• Indirect, incidental, or consequential damages of any kind

Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days unless legally required to retain it.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. The courts of Berlin, Germany have exclusive jurisdiction over any disputes arising from these Terms.
